musx Terms and Conditions

Effective Date: April 5, 2015

1. Definitions

Service means the musx website and related interfaces.

Content means all user-generated requests, recommendations, comments, and related materials.

Spotify Content means any metadata or streams accessed via the Spotify Web Playback SDK under valid OAuth scopes.

2. Acceptance of Terms

By accessing or using the Service, you agree to these Terms and Conditions, which form the entire agreement between you and musx, Inc. ("musx," "we," or "us"). If you do not agree, you may not use the Service.

Updates: We will provide advance notice prior to any material changes via in‑product notice or email. Continued use after notice constitutes acceptance of the revised Terms.

3. Eligibility

You must be at least 13 years old to use the Service. Users aged 13–17 may use the Service only with verifiable parental or guardian consent.

4. Accounts

Registration: You must register with a valid email and keep your information current.

Security: You are responsible for safeguarding your credentials and all activity under your account, and you agree to notify musx promptly of any unauthorized access.

Disconnect & Deletion: You may disconnect your Spotify account in Settings (which revokes stored tokens) or request full account deletion by emailing legal@musx.com.

Suspension: We may suspend or terminate accounts that violate these Terms or threaten the Service or its users.

5. Spotify Integration & Third-Party Services

5.1 Spotify Integration

musx integrates with Spotify via the Web Playback SDK under the scopes you authorize. Playback requires an active Spotify Premium subscription.

We do not store or stream audio files; all playback streams directly from Spotify.

Re‑Authorization: Any addition of Spotify scopes will trigger an explicit re‑authorization prompt.

Rate‑Limiting: We respect Spotify's rate limits, handle 429 responses gracefully, and apply exponential back‑off.

Metrics: We may share aggregate, non‑PII usage metrics with Spotify upon request for diagnostics.

5.2 Future Integrations

We may integrate additional third‑party services (e.g., hosting, analytics, social login) under their terms.

Under no circumstances will musx combine Spotify audio streams with other providers; all Spotify playback occurs solely within the dedicated Spotify player context.

5.3 Disclaimers

Third‑party services are provided "as‑is." musx disclaims all warranties regarding those services.

Spotify AB is an express third‑party beneficiary of these Terms and may enforce relevant provisions.

You must comply with Spotify's Terms of Use and Brand Guidelines; musx makes no warranties regarding Spotify's availability or performance.

6. User Content & Conduct

Ownership & License: You retain ownership of your Content and grant musx a worldwide, royalty‑free license to host, display, and distribute it to operate the Service.

Prohibited Conduct: You may not post unlawful, infringing, harassing, or defamatory content, nor may you scrape, reverse‑engineer, record, or circumvent DRM for Spotify audio. musx may remove Content or suspend accounts for violations.

7. Intellectual Property

musx IP: All musx code, design, and proprietary data are owned by musx. You receive a limited, revocable license to use the Service.

Trademarks: musx™ is owned by musx, Inc.; Spotify® is owned by Spotify AB. You agree to comply with all applicable branding guidelines.

8. Future Monetization

The Service is currently free. musx may introduce paid or ad‑supported features in the future; any such changes will be reflected in updated Terms and require user consent where applicable.

9. Disclaimers & Limitation of Liability

No Warranties: The Service is provided "as is," without warranties of any kind.

Liability Cap: To the fullest extent permitted by law, musx's aggregate liability shall not exceed US $100 or the amount you paid in the prior 12 months, whichever is greater, except for claims arising from gross negligence or willful misconduct.

10. Indemnity

You agree to indemnify and hold harmless musx and its officers, directors, affiliates, and Spotify AB (to the extent of their IP rights) from all claims, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of third‑party rights, except to the extent caused by musx's gross negligence or willful misconduct.

11. Governing Law & Dispute Resolution

These Terms are governed by Delaware law. Exclusive venue is the state or federal courts in Delaware.

12. General Provisions

Severability: If any provision is invalid, the remainder shall remain in effect.

Waiver: Failure to enforce any right is not a waiver.

Force Majeure: Neither party is liable for delays beyond its control.

Assignment: You may not assign these Terms; musx may assign with notice.
